Terms of service

These terms are an agreement between [Org Data Solutions legal entity name] ("we", "us") and the clinic that signs up ("you") for Tracker for SPRAVATO® (the "Service"). The person who signs up confirms they are authorized to bind the clinic. The Business Associate Agreement and the Privacy Policy are part of these terms.

1. The Service

The Service is web software for tracking patient access to treatment — benefits verification, prior authorization, treatment sessions, REMS-related records and medication inventory — at your clinic's own address on spravatotracker.com. We may improve and change the Service; we will not remove a core capability you rely on without [60] days' notice.

2. Your account

  1. You choose your clinic administrators. Administrators admit users, grant their roles and programs, and are responsible for removing people who should no longer have access.
  2. Every user signs in personally with a passphrase and an authenticator app. Accounts may not be shared.
  3. You are responsible for the accuracy of what your users enter and for your use of the Service in your practice.

3. Trial, price and billing

  1. The subscription costs $400 per month per clinic, with unlimited users, patients, locations and treatment programs.
  2. A card is required to start. The first 15 days are a free trial: nothing is charged until day 15, and if you cancel before then you pay nothing.
  3. After the trial the subscription renews monthly and is charged to your card on the same day each month until cancelled. Payments are processed by our payment provider; we do not store card numbers.
  4. Optional onboarding and team training is a one-time purchase at the price shown at checkout. [It is non-refundable once the session has been delivered.]
  5. Prices exclude taxes, which are added where required. We may change the monthly price with at least [30] days' notice by e-mail; the new price applies from your next renewal after the notice period.

4. Cancellation, failed payments and your records

  1. You may cancel at any time from your clinic's billing page or by writing to us. Cancellation takes effect at the end of the current paid period; we do not refund partial months.
  2. If you cancel, or a payment fails and is not resolved, your clinic keeps full access for 7 days. After that it becomes read-only: users can still sign in, view every record and export everything, but cannot make changes. Paying again restores full access.
  3. We never delete your clinic's records automatically. We delete them only on your written request, after you confirm you have your export, subject to the Business Associate Agreement. [Records of a clinic that has been read-only for more than [24] months may be archived offline after [90] days' notice.]
  4. We may suspend access immediately to stop a security threat or unlawful use, and will tell you why.

5. Your data

  1. Your clinic's records belong to you. You grant us the rights needed to host, process and back them up to provide the Service, and nothing more.
  2. Protected health information is handled under the Business Associate Agreement. We do not sell it, use it for marketing, or use it to train artificial-intelligence models.
  3. We may use aggregate, non-identifying usage measurements (for example, how often a page is opened) to operate and improve the Service.

6. Acceptable use

You will not use the Service to break the law, attempt to reach another clinic's data, probe or disrupt the Service, resell it, or store information unrelated to patient access and treatment at your clinic.

7. Clinical and payer decisions

The Service organizes information and reminds your team; it does not practice medicine, determine coverage or eligibility, or replace your clinical judgment, your payers' determinations, the REMS program's requirements or your regulatory obligations, including those for controlled substances. Your clinicians and staff remain responsible for verifying what they rely on.

8. Other services

The Service can connect to systems you choose — for example your EMR, your fax account or payer and manufacturer portals. Those services are governed by their own terms. SPRAVATO® is a registered trademark of Johnson & Johnson. Tracker for SPRAVATO® is an independent product of Org Data Solutions and is not affiliated with, sponsored by or endorsed by Johnson & Johnson.

9. Warranties and liability

  1. We will provide the Service with reasonable skill and care and keep the safeguards described on our security page. Otherwise the Service is provided "as is" to the extent the law allows.
  2. Neither party is liable for indirect, incidental or consequential damages. Except for breaches of the Business Associate Agreement [and amounts owed], each party's total liability is limited to the fees paid in the 12 months before the claim.

10. General

  1. We may update these terms; material changes are e-mailed to your administrators at least [30] days before they apply.
  2. These terms are governed by the laws of [State], without regard to conflict-of-laws rules.
